Applied Materials agrees to acquire more Besi shares, lifting stake to about 20%

The purchase adds to a stake Applied made in April 2025. Share delivery depends on expiration or termination of the Hart-Scott-Rodino waiting period.

Key takeaways

  • Applied Materials Inc. (AMAT) entered an accelerated share purchase agreement on Oct. 26 to acquire shares of BE Semiconductor Industries N.V., a Dutch maker of semiconductor assembly equipment, which would lift its stake to approximately 20% of outstanding common stock. Delivery of the shares is subject to expiration or termination of the Hart-Scott-Rodino waiting period.

Applied Materials Inc. (AMAT) said Monday it has entered into an accelerated share purchase agreement to acquire more shares of BE Semiconductor Industries N.V., the Dutch company known as Besi.

When combined with Applied's existing holding, the purchase would give Applied approximately 20% of Besi's outstanding common stock, a regulatory filing showed.

The filing does not give a purchase price or the number of shares involved.

Delivery of the Besi shares depends on the expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended.

Applied first invested in Besi in April 2025, the company said in a press release furnished with the filing.

The two companies have collaborated since 2020. The relationship was recently expanded when Besi joined Applied's EPIC Center as an Innovation Partner.

The expanded partnership extends their co-innovation beyond hybrid bonding into new interconnect architectures and applications supporting the semiconductor industry's AI-driven scaling roadmap.

Areas of collaboration include next-generation 3D IC scaling, logic and memory integration, scaling of thermo-compression bonding, and new die-on-wafer, die-on-die and die-on-panel integration platforms.

"Applied Materials is adding to its investment in Besi as hybrid bonding technology and next-generation interconnect architectures become increasingly critical enablers of energy-efficient AI compute performance," said Dr. Prabu Raja, President of the Semiconductor Products Group at Applied Materials.

Applied views the investment as long term. It currently has no intention to increase its stake beyond approximately 20%, and it does not intend to seek board representation at Besi.

Besi trades on Euronext Amsterdam under the symbol BESI. The press release describes it as a manufacturer of assembly equipment for the semiconductor industry.

The filing gives no expected closing date. Closing depends on the Hart-Scott-Rodino waiting period expiring or terminating.
