Redemption and covenants
The co-issuers may redeem the notes prior to their par call dates at a make-whole redemption price based on treasury rates plus 15 basis points for the 2029 notes, 20 basis points for the 2032 notes, and 25 basis points for the 2033 notes. The par call date is Aug. 21, 2029, for the 2029 notes, Dec. 15, 2031, for the 2032 notes, and July 21, 2033, for the 2033 notes. On or after those dates, the notes may be redeemed at 100% of principal plus accrued interest.
If a change of control repurchase event occurs, holders can require the co-issuers to repurchase the notes at 101% of principal plus accrued interest. The indenture contains covenants limiting the ability to create liens on certain assets to secure debt, enter into sale and lease-back transactions, or dispose of substantially all assets.
Why it matters
The multi-tranche offering raises significant capital for the co-issuers while adding unsecured debt obligations to the balance sheet. The structure provides CDW with extended debt maturities stretching out to 2033, while the change of control provisions offer downside protection for noteholders if corporate ownership shifts.
