Dominion Energy and NextEra announce enhanced Virginia benefits package for merger

The utilities expand residential bill credits to four years, pledge $100 million for EnergyShare, and add 1,000 jobs.

Dominion Energy, Inc. (D) and NextEra Energy, Inc. announced an enhanced benefits package on Monday for their proposed business combination, featuring an extended four-year timeline for residential bill credits, increased low-income financial assistance, and expanded job commitments in Virginia.

The companies said in a filing that the updated package addresses feedback from policymakers and stakeholders, building on their pending combination expected to close in the second half of 2027.

Key takeaways

  • Residential bill credits doubled from two to four years at $10 per month.
  • EnergyShare low-income assistance increased by $100 million through 2038.
  • Adds 600 NextEra jobs and 400 supplier jobs in Virginia.
  • Includes a $100 million workforce development fund and up to a $1 billion annual Virginia Supplier Program.

Customer benefits and bill relief

Under the revised terms, the companies propose to double residential bill relief by extending $10 per month in bill credits from the previously planned two years to four years. The companies said this will be achieved by working with the State Corporation Commission to redirect the portion of credits that would otherwise go to large-scale data centers toward additional relief for residential customers, alongside an increase in the aggregate shareholder-funded Virginia customer credit amount.

Low-income financial assistance will also expand through an increase to EnergyShare, Dominion Energy's shareholder-funded energy bill assistance program, by $100 million through 2038. The companies reaffirmed their commitment to hold customers harmless from all merger costs.

Jobs and co-headquarters in Richmond

NextEra Energy agreed to maintain current employee headcount levels in Virginia for five years and add 600 new NextEra Energy jobs in the Commonwealth. Suppliers are expected to bring an additional 400 jobs to the state.

NextEra Energy will build, at shareholder expense, a new co-headquarters office tower in downtown Richmond beside the existing Dominion Energy headquarters. The new presence will support work in renewables development, battery storage operations, nuclear and small modular reactor innovation, enterprise technology, and cybersecurity.

Workforce and supplier investments

The companies will contribute $100 million to directly support workforce development through an independent organization governed by trade schools, colleges, and universities, alongside union partnerships.

Additionally, the companies will establish up to a $1 billion annual, five-year Virginia Supplier Program through spending commitments supporting cost-competitive contractors, suppliers, and service providers doing business in the state.

“This is a Virginia-first package, and it starts with customers,” said John Ketchum, chairman, president and CEO of NextEra Energy. “We are proposing to double residential bill relief from two years to four years, along with expanded low-income financial assistance and long-term affordability benefits.”

“Dominion Energy Virginia will remain locally led, separately regulated and accountable to the State Corporation Commission,” said Robert Blue, chair, president and CEO of Dominion Energy. “The same local teams, led by Ed Baine, that customers know and trust will continue serving the Commonwealth.”

Why it matters

The commitments are contingent upon the approval and closing of the proposed combination. The transaction remains subject to required regulatory approvals, including the State Corporation Commission, the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, and other customary closing conditions.
