Instacart deal terms

DoorDash will acquire Instacart for $65 per share, an equity value of about $17 billion. Instacart stockholders may elect to receive cash, DoorDash common stock, or a mix of $48.75 in cash and 0.0843 DoorDash shares for each Instacart share. Stock is capped at 25% of the aggregate consideration, and proration applies.

The price represents a 26% premium to Instacart's closing price on Oct. 22, the last trading day before media reports about a possible transaction.

DoorDash expects to fund the cash portion with cash on hand and debt. It has a financing commitment from JPMorgan Chase Bank, N.A. for a 364-day senior unsecured bridge loan facility. The transaction is not subject to a financing condition, and the company is targeting a capital structure that maintains investment-grade ratings.

The company expects the deal to close at the end of 2027 or in the first half of 2028. Closing requires approval by Instacart stockholders, expiration or termination of the Hart-Scott-Rodino waiting period, and other regulatory approvals, including in Canada and Israel. Stockholders holding about 19% of Instacart's outstanding shares have agreed to vote in favor.

The company sees a multi-year path to $500 million or more of annual synergies, net of investments. It expects to invest more than 100% of total synergies in the first year after close, with positive net synergies in year two and beyond.
