Eaton Corporation plc (ETN) said in an 8-K filed Friday that it has recast segment information in its 2025 annual report, combining its legacy Vehicle and eMobility segments into a single Mobility segment.
The 8-K updates the Form 10-K the company filed on Feb. 26, 2026. The recast reflects a change in segment reporting that Eaton put in place during the first quarter of 2026 as part of a reorganization of its businesses.
The company said the changes do not restate previously issued financial statements.
In 2025, Mobility net sales were $3,109 million, compared with $3,451 million in 2024. Total net sales for the company were $27,448 million in 2025, against $24,878 million a year earlier.
The recast shows Mobility goodwill of $626 million at Dec. 31, 2025.
The exhibit includes recast versions of Part I, Item 1 (Business), Part II, Item 7 (Management's Discussion and Analysis) and Item 8 (Financial Statements), and Part IV, Item 15. It omits the internal control reports and the list of exhibits.
Ernst & Young LLP's audit report is included. It is unchanged, apart from a second date of Oct. 16, 2026 for Notes 1, 3, 6, 16 and 18.
Eaton announced on Jan. 26, 2026 that it intends to spin off the Mobility business into an independent, publicly traded company. The company expects to complete the spin-off by the end of the first quarter of 2027, subject to approvals, including final approval from its board and effectiveness of a Form 10 registration statement.
The 8-K does not update the 2025 report for events after its original filing. The company said it should be read alongside the 2025 Form 10-K and the 2026 quarterly reports on Form 10-Q, filed May 5 and July 31.
