Markel Group Inc. (MKL) said in a regulatory filing that its Markel Insurance units entered an adverse development cover agreement with Cavello Bay Reinsurance Limited, a wholly owned subsidiary of Enstar Group Limited. The agreement was dated Oct. 27 and disclosed in an 8-K filed Oct. 28.

The deal covers a portfolio of Markel's run-off global reinsurance business and certain exited lines within its insurance operations. The subject business carries net reserves of $4.8 billion.

Under the agreement, the reinsurer will cover, on an indemnity basis, 100% of covered losses paid on or after April 1, 2026, above an aggregate retention of $2.6 billion. After the retention, the cover provides $2.3 billion against the reserves and $1.2 billion of additional coverage for adverse development above them.

Markel's insurance companies will pay a reinsurance premium of $2.4 billion. The premium, less an amount equal to federal excise tax, will be paid by transferring assets at closing. The transferred assets include any earnings, gains or losses on those assets between signing and closing.

Of those transferred assets, $500 million will go to the reinsurer outright. The balance will go into a trust account for the benefit of the Markel companies to secure the reinsurer's obligations.

The reinsurer must maintain collateral in the trust account, and collateral requirements can rise when certain events occur. The Markel companies keep claims control, subject to claims protocols in the agreement.

The agreement gives the Markel companies the right to commute it when certain recapture trigger events occur. It also includes customary representations, warranties, indemnification obligations, covenants and termination rights.

Closing requires regulatory approval and other customary conditions. The company expects the transaction to close by the end of the fourth quarter of 2026.

In a separate Regulation FD item, the company said it issued a press release on Oct. 28 announcing the agreement. That release put the risk premium paid to Enstar at $120 million.

The release also said Markel expects the net impact of the transaction to be immaterial to fourth-quarter underwriting results. It said the coverage reduces the level of prudency management requires in its best estimate of ultimate losses.

Simon Wilson, Chief Executive Officer of Markel Insurance, said: "This transaction provides additional certainty as these liabilities continue to run off and allows us to continue our focus on growing our core specialty insurance business."

The filing lists risks that could cause results to differ, including delays or conditions attached to regulatory approval, the reinsurer's ability to meet its payment and collateral obligations, and uncertainty in loss reserve estimates.
