MarketAxess Holdings Inc. (MKTX) said Thursday in a filing that the Department of Justice and the Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act for its merger with Intercontinental Exchange, Inc.
The termination took effect Oct. 21, 2026. The company said the early termination satisfies the Hart-Scott-Rodino condition to closing the merger.
MarketAxess agreed to the deal on July 29, 2026, under an Agreement and Plan of Merger with Intercontinental Exchange and its merger subsidiary, Igloo Merger Sub II, Inc. Under the agreement, MarketAxess would survive as a wholly owned subsidiary of Intercontinental Exchange.
The merger remains subject to other customary closing conditions and approvals. These include approval by MarketAxess stockholders and the receipt of other required regulatory approvals.
MarketAxess filed its definitive proxy statement with the SEC on Sept. 18, 2026.
The filing does not state the merger consideration. It also does not give an expected closing date.
