NextEra Energy Inc. (NEE) said in a regulatory filing on Monday that it reached a settlement agreement to resolve multiple shareholder derivative actions and demands pending in Florida state and federal courts.

The settlement includes a cash payment of $15.5 million to be paid by the D&O insurance carriers of the individual defendants, according to a filing with the U.S. Securities and Exchange Commission. In addition to the cash payment, NextEra Energy will adopt, implement, or maintain corporate governance reforms for at least four years.

The governance reforms include enhanced board oversight of political contributions, the appointment of a new independent director with political or legislative experience, and expanded duties for the chief compliance officer regarding campaign finance laws. The company also agreed to formalize its management-level disclosure committee and political expenditure committee.

The Circuit Court of the 15th Judicial Circuit in and for Palm Beach County, Florida, entered an order setting a settlement hearing for December 14, 2026, at 3:00 p.m. The hearing will determine whether to approve the terms of the derivative settlement and an agreed-upon award of attorneys' fees and expenses of $5.75 million to counsel for the shareholders.

Plaintiffs and shareholders in the consolidated actions alleged that certain directors and officers breached fiduciary duties in connection with political influence activities involving primary subsidiary Florida Power & Light Co. The individual defendants denied all allegations of wrongdoing or liability and maintained that they acted in good faith.
