Key takeaways
- RB Global Inc. (RBA) said on Oct. 8 that Steve Steinberg was appointed chief financial officer effective Oct. 7, and that Chief Operating Officer Steve Lewis and former CFO Eric Guerin are departing. The company expects 2026 results at the high end of its Aug. 4 outlook: GTV growth of 9-11% and adjusted EBITDA of $1,495 - $1,545 million.

RB Global Inc. (RBA) said Thursday it has appointed Steve Steinberg as chief financial officer, effective Oct. 7, and expects its 2026 financial results to come in at the high end of its outlook range.
The company said in an 8-K filing that Steinberg, 62, replaces Eric Guerin, whose last day was Oct. 6. Chief Operating Officer Steve Lewis is also leaving, with his last day expected to be Oct. 9.
Guerin and Lewis will receive severance and other customary benefits under their employment agreements, the filing said.
Steinberg most recently served as Senior Vice President and Head of Strategic Planning and Decision Support, a role he has held since 2025. He joined the company in 2016 and was Business Unit CFO and Vice President, North America, from 2016 to 2020.
His employment agreement, entered Oct. 7, provides a base salary of $625,000. His target bonus is 100% of base salary, with a maximum payout of 200%. His annual long-term incentive grant is equal to 400% of base salary, subject to approval by the Compensation Committee of the board.
If he is terminated without cause or resigns for good reason, Steinberg would receive 18 months' base salary and target bonus, a pro-rated bonus for the year of termination, and COBRA coverage payments until the earlier of the first anniversary of termination or eligibility for other group coverage. Those payments are conditioned on a general release of claims.
The company also said it expects full-year 2026 results to be at the high end of the outlook it gave on Aug. 4. That outlook called for gross transaction value, or GTV, growth of 9% to 11% and adjusted EBITDA of $1,495 million to $1,545 million.
The company said it could not predict with reasonable certainty the amount or timing of the non-GAAP adjustments needed to reconcile adjusted EBITDA to GAAP net income, so it did not provide that reconciliation.
Chief Executive Officer Jim Kessler said in a press release that the appointments "elevate outstanding, proven talent within RB Global." The release also promoted Shiv Dutt to Chief Digital and Strategy Officer, a newly created role, Jake Lawson to President, Heavy Equipment & Transportation North America, and Sam Wyant to President, Auto North America and International.
Steinberg said he is focused on "margin expansion, balance sheet flexibility, and value-creating capital allocation."
The company will release third-quarter 2026 results before the market opens on Monday, Nov. 9, and hold a conference call at 8:30 a.m. ET.
