Repligen Corporation (RGEN) reported third-quarter 2026 revenue of $209.3 million, up 11% from a year earlier, and raised its full-year revenue guidance, the company said Tuesday in a regulatory filing.

The company said the figures cover the three months ended Sept. 30 and were issued in a press release attached to the 8-K. Organic growth, which excludes acquisitions, divestitures and currency, was 12.5%.

Here's how the company did:

  • Revenue: $209.3 million vs. $188.8 million a year earlier
  • GAAP loss per share (diluted): $0.68, vs. earnings of $0.26 a year earlier
  • Adjusted earnings per share (diluted, non-GAAP): $0.53 vs. $0.46 a year earlier

Adjusted figures are non-GAAP measures that leave out items such as acquisition costs, restructuring charges and intangible amortization.

Adjusted EBITDA, or earnings before interest, taxes, depreciation and amortization, was $43.8 million, a margin of 20.9%, compared with $35.9 million and 19.0% a year earlier.

GAAP gross margin was 53.0%, compared with 53.2% a year earlier.

The GAAP operating result was a loss of $29.5 million, against income of $16.8 million a year earlier. The company said the swing was primarily driven by an intangible asset impairment charge of $41.2 million.

Adjusted income from operations rose to $33.3 million from $26.8 million, with an adjusted operating margin of 15.9%, compared with 14.2%. Adjusted net income was $29.9 million, compared with $25.9 million.

"We delivered a record third quarter, with $209 million in revenue and 12.5% organic growth, driven by continued strength across our diversified portfolio," President and Chief Executive Officer Olivier Loeillot said. "End-market demand continues to improve, with healthy trends in consumables and services complemented by a growing capital equipment order book."

For the first nine months, revenue was $607.7 million, up from $540.3 million a year earlier. GAAP operating income was $0.4 million, down from $37.3 million.

The nine-month GAAP net loss was $25.1 million, compared with net income of $35.6 million a year earlier.

Cash, cash equivalents and marketable securities totaled $863 million at Sept. 30, compared with $768 million at Dec. 31, 2025.

The company closed its acquisition of BioLife Solutions on Oct. 6, 2026. The company said the deal strengthens its position in cell therapy, adding what it describes as a differentiated consumables platform with recurring revenue. The filing does not give the purchase price or other terms.

Results for the nine months include a loss on sale of business of $13.7 million. The company also divested Polymem, and its guidance nets out that divestiture against the BioLife benefit, without further detail in the filing.

The company raised full-year 2026 total reported revenue guidance to $844 million to $852 million, with reported growth of 14.5% to 15.5%. The company said the range has a neutral currency impact and includes an approximately 2.5 point tailwind from acquisitions, mainly BioLife, net of the Polymem divestiture.

On an adjusted basis, the company expects organic growth of 12% to 13%, gross margin of 53.7% to 54.2%, and income from operations of $135 million to $139 million. It also expects adjusted net income of $119 million to $122 million and adjusted diluted earnings per share of $2.05 to $2.09.

The guidance excludes any further acquisitions and future currency movements. The company said it cannot provide GAAP reconciliations of its forward-looking figures because it cannot predict the timing and amount of restructuring, cost-saving, acquisition and integration costs.

Loeillot also said, "Our strong year-to-date performance, continued order momentum and the addition of BioLife give us confidence to raise our full-year guidance again."

On integration, Loeillot said early customer feedback has been "very encouraging" and that the company has already taken actions to realize "a sizable portion of our expected operating expense synergies."

Restructuring activities and other charges were $2.0 million in the quarter, and transformation costs were $3.3 million. The company said the restructuring is meant to simplify its global manufacturing footprint and align its workforce.

Repligen also opened a Training & Innovation Center in Seoul, South Korea, on Oct. 23, the company said.
