Roku, Inc. (ROKU) stockholders approved the company's merger agreement with Fox Corporation at a special meeting on Oct. 14, 2026, a filing with the Securities and Exchange Commission showed.

The agreement, entered into on June 14, 2026, provides for Falcon Merger Sub 1, Inc. to merge into Roku. Roku would continue as the surviving corporation and become a wholly owned subsidiary of Fox Corporation.

A second merger would follow immediately. The surviving corporation would then merge into Falcon Merger Sub 2, LLC, a wholly owned Fox subsidiary. The filing says the two steps form one integrated transaction.

The merger proposal received 241,044,988 votes in favor, 502,927 against and 511,598 abstentions. The filing puts the votes in favor at 81.5% of votes outstanding.

Stockholders also approved, on an advisory basis, compensation for the company's named executive officers that is based on or tied to the transactions. That proposal drew 240,438,251 votes in favor, 864,190 against and 757,072 abstentions, or 99.3% of votes present in favor.

The adjournment proposal, which would have allowed more time to solicit proxies, was not put to a vote because the merger proposal passed.

The vote does not complete the deal. The filing lists regulatory approvals and other conditions still to be met, and it does not give an expected closing date.

The joint proxy statement and prospectus, filed on Sept. 1, 2026, describes each proposal in more detail.
