Skyworks receives all regulatory clearances to close Qorvo merger
Skyworks Solutions expects to close its combination with Qorvo on or about October 5, 2026, after receiving all necessary regulatory clearances.

Skyworks Solutions Inc. (SWKS) said Tuesday that it has received all necessary regulatory clearances to proceed with its previously announced transaction with Qorvo Inc. (QRVO).
The companies expect to close the mergers on or about October 5, 2026, subject to the satisfaction or waiver of remaining customary closing conditions, according to a press release filed with the U.S. Securities and Exchange Commission.
Skyworks and Qorvo initially announced their agreement to combine in a cash-and-stock transaction on October 28, 2025. The combination is designed to bring together the companies' complementary product and technology portfolios to create a U.S.-based, global leader in high-performance radio frequency, analog, and mixed-signal semiconductors.
In connection with the transaction, Skyworks previously launched exchange offers for any and all outstanding 4.375% Senior Notes due 2029 issued by Qorvo and 3.375% Senior Notes due 2031 issued by Qorvo, alongside related consent solicitations. The exchange offers currently are expected to expire at 5:00 p.m., New York City time, on October 2, 2026, and Skyworks anticipates extending the expiration date to a time following the closing of the mergers.
Skyworks expects to pay consent payments concurrently with or promptly following the closing of the mergers. Each exchange offer and consent solicitation is conditioned upon the closing of the mergers, which condition cannot be waived by Skyworks, while the closing of the mergers is not conditioned upon the results of the exchange offers.
