Jazz Pharmaceuticals plc (JAZZ) said in a regulatory filing Monday that it expects a pre-tax charge of about $755 million for acquired in-process research and development, or IPR&D, in its third quarter of 2026.

The charge is tied to the company's acquisition of Actio Biosciences, Inc., a Delaware corporation, which was completed on Sept. 15, 2026.

IPR&D stands for in-process research and development.

The company said the charge is not tax deductible. It expects the charge to have an unfavorable impact of about $11.00 on both GAAP earnings per share and non-GAAP adjusted earnings per share for the quarter.

Non-GAAP adjusted earnings per share excludes items including intangible asset amortization and share-based compensation expense, under the company's definition, and adjusts for the related income tax effect.

The figures are preliminary. The company said its results for the quarter ended Sept. 30, 2026, have not been finalized and are subject to its financial statement closing procedures, and that actual results may differ.

The company said the figures in the filing do not present all information needed for a full understanding of the quarter and are not a substitute for its full condensed consolidated financial statements prepared under GAAP.

The filing does not include total third-quarter revenue or net income.
