TTM Technologies Inc. (TTMI) said on Wednesday that it has completed its acquisition of EPIQ Design Solutions LLC for approximately $1.1 billion in cash. The transaction was announced in a regulatory filing and a press release.

The company funded the purchase price using borrowings from a new $300 million incremental senior secured term loan A and an $800 million incremental senior secured term loan B, alongside proceeds from a previously completed offering of 6.750% senior notes due 2034. The new term loans were entered into under a Third Amended and Restated Credit Agreement with JPMorgan Chase Bank, N.A. as administrative agent.

Epiq Solutions now operates as a wholly-owned subsidiary of TTM Technologies. The acquired business provides software-defined radios and RF products supporting defense and commercial markets.

Financial contributions from the Epiq acquisition are expected to be immediately accretive to adjusted EBITDA, moderately dilutive to non-GAAP diluted EPS in 2027, and accretive to non-GAAP diluted EPS in 2028.
